These Terms and Conditions (“Terms”) outline the rules for you (“User”) using Toke and our related services. By accessing our platform, you agree to these Terms and our Acceptable Use Policy. We also encourage you to review our Privacy Policy, which explains how we handle your personal information.

IMPORTANT: Please read these Terms and Conditions carefully before using the Toke platform. By accessing or using the Platform you agree to be bound by these Terms. If you do not agree, you must not use the Platform. These Terms contain important information about your rights, obligations, dispute resolution, and limitations of our liability.

1. Introduction and Acceptance of Terms

The website located at www.toke.ai (the “Platform”, “Service”, or “Site”) is a copyrighted work belonging to Toke AI Ltd (“Toke”, “Us”, “Our”, or “We”), and its affiliates, subsidiaries, parent companies, and other related companies. Toke is a cannabis community and marketplace. Toke provides information, tools, reviews, subscriptions, and connections to third parties, but is not itself a seller or supplier of cannabis products, a medical provider, or a pharmacy. The Platform provides:

Some Platform features may be subject to additional disclaimers, guidelines, terms, or rules posted on the Platform. All such additional terms are incorporated by reference into this Agreement. References to “user”, “you”, and “your” refer to you, the user of our Site and/or Services.

Important Disclaimer: All information on the Platform is for informational and educational purposes only. Toke does not offer medical advice. Any content — including strain information, product data, and user-generated content — must not be used for the diagnosis or treatment of any medical condition. Always consult a qualified healthcare professional. Never disregard professional medical advice or delay seeking it because of something you read on the Platform.

You acknowledge that Toke is intended for residents of countries, regions, and localities with laws regulating the use of cannabis-derived products (including CBD, medical cannabis, and recreational cannabis). You acknowledge that you are solely responsible for your own actions and for your interactions with any cannabis substance or product, and with any cannabis-related business, dispensary, clinic, pharmacy, club, provider, or other user, in each country, region, or locality in which you access the Platform. Where cannabis is listed as an illegal substance in your jurisdiction, this responsibility applies in full.

2. Eligibility and Agreement to Terms

2.1 Eligibility

To use the Toke Platform, you must:

By using the Platform, you represent and warrant that you meet all eligibility requirements. Toke conducts age verification processes but does not store identification information provided during this process on the Platform (see Section 19).

2.2 Agreement to Terms

By accessing, browsing, downloading, installing, or using the Toke Platform, you acknowledge that you have read, understood, and agree to be bound by:

If you do not agree to these Terms, you must immediately cease using the Platform. Continued use constitutes ongoing acceptance of these Terms as amended from time to time.

2.3 These Terms Are a Consumer Agreement

These Terms are a consumer agreement. They apply to you as an individual using the Platform for your own personal, non-commercial purposes. Business Partners (including Retailers, Doctors/Clinics, and Pharmacies) do not access or use the Platform under these Terms; they contract with Toke under separate business agreements. If you are acting wholly or mainly for purposes relating to your trade, business, craft, or profession, these Terms are not intended for you and you should contact Toke at support@toke.ai for the applicable business terms.

2.4 Which Parts of These Terms Apply to You

The Toke platform is released in stages, and not every feature described in these Terms is available in every release or in every territory. Where a feature is not available to you, the provisions relating to it do not apply. Sections marked “Feature-dependent” describe features that may not be available to you.

3. Definitions

In these Terms, capitalised terms have the meanings given to them where defined. Key defined terms include: Toke, Platform / Site / Services, User, Business Partner, Retailer, Doctor / Clinic, Pharmacy, Registered Healthcare Professional, Cannabis Products, CBD, Medical Cannabis, Recreational Cannabis, Strain Information, Product Information, Lab Reports, User Content, Basic User, Toke Plus, Toke Premium, Credit, Vendor, Deals, Intellectual Property Rights, and Agreement. A “Pharmacy” (also referred to as a Medical Dispensary) means a licensed business that dispenses or fulfils cannabis prescriptions. A full definitions table is maintained in the master definitions schedule.

4. Description of Services

4.1 Platform Overview

Toke provides a digital platform that serves as a resource for cannabis information and facilitates connections and transactions between users and Business Partners. Strain Information on the Platform is compiled and aggregated by Toke from a range of sources. Business Partners provide their own business information and, where available, product information. Toke facilitates transactions between you and Business Partners — including orders for goods and, where offered, services such as consultations and prescriptions. Toke also provides community features and its own subscription services.

IMPORTANT DISCLAIMER: Toke is not a seller of cannabis products, a medical provider, or a pharmacy. We are not responsible for the direct sale, quality, legality, delivery, or any other aspect of order or prescription fulfilment. Any problems or disputes related to product quality, delivery, prescription accuracy, or fulfilment are solely the responsibility of the respective Business Partner.

4.2 Service Availability

While we strive to make the Platform available 24/7, we do not guarantee uninterrupted, secure, or error-free operation. The Platform may be temporarily unavailable due to maintenance, upgrades, network issues, or factors outside our control.

4.3 Geographic Availability

Toke is an information platform. It does not sell cannabis and does not facilitate its sale. We make the Platform available only in the territories we have chosen, and we control which content is shown to you based on where you are, so that you are not shown material that would be inappropriate or unlawful in that place. The territories in which the Platform is available may change. You remain solely responsible for ensuring that your own use of the Platform, and anything you do as a result of it, complies with the law where you are. Cannabis laws differ between countries and can be strict. Nothing on the Platform is an assurance that any conduct is lawful in your jurisdiction. We may restrict or withdraw access in any territory at our discretion.

4.4 Modifications to Services

We may modify, suspend, or discontinue the Platform or any part of it. Where a change materially and adversely affects a paid feature you use, we will give reasonable notice where practicable. If we permanently discontinue a paid feature: (a) for a recurring subscription, we will refund any pre-paid fees on a pro-rata basis for the remainder of the paid period; and (b) for a one-off purchase such as Toke Plus, we will provide a fair refund if you purchased within the previous six (6) months, reflecting how recently you bought it; no refund is due once the feature has been available to you for more than six (6) months.

4.5 Nature of Platform Information

Information on the Platform — including strain and product information, community content, and peer-reported data (including “Uses”, described in Section 4.9) — is general information only. It is not tailored medical advice or a diagnosis, and is not a substitute for professional medical advice, diagnosis, or treatment. Any decision about what is clinically appropriate for you rests with your Registered Healthcare Professional. Always consult a qualified healthcare professional and never disregard or delay professional advice because of something on the Platform. You are responsible for the decisions you make based on information from the Platform (except to the extent any liability cannot be excluded by law, including for death or personal injury caused by negligence).

4.6 Platform Ownership

Excluding User Content, all Intellectual Property Rights in the Site and Services are owned by Toke or Toke’s licensors.

4.7 App Platforms

The availability of the Mobile App is dependent on the third-party app platform from which you download it (the Apple App Store or the Google Play Store) (each an “App Platform”). This Agreement is between you and Toke, not the App Platform. Additional platform-specific terms apply depending on the App Platform from which you download the Mobile App — see Section 26 for Apple App Store and Google Play Store specific terms.

4.8 Licensed Providers Only

The Platform is designed to connect you only with Business Partners who have represented and warranted to Toke that they hold, and will maintain, all licences, registrations, and authorisations required by law in their jurisdiction to supply their goods or services lawfully. Each Business Partner is contractually required to maintain valid licensing and to comply with applicable law.

Toke carries out reasonable checks at onboarding but does not itself sell or supply the cannabis goods or services offered by Business Partners, is not a party to the sale of cannabis, is not a licensing authority, and does not and cannot guarantee the ongoing licensing status, legality, quality, or conduct of any Business Partner. Responsibility for licensing and legal compliance rests solely with the relevant Business Partner. Where Toke becomes aware that a Business Partner is not, or may not be, appropriately licensed, Toke may suspend or remove that Business Partner from the Platform.

4.9 Strains, Products, and “Uses”

The Platform presents information across separate surfaces, constructed so that information about experience is kept distinct from any purchase or pricing surface.

Strains: Strain pages show information such as composition, aromas, and duration, together with “Uses” (defined below). Strains are not purchasable; strain pages carry no price and no purchase or request control.

Products: Product pages show information such as the product name, format, and composition, together with “Uses”. Product pages carry no price. Access to product-level information is limited to verified medical patients. A single control leads to a separate availability surface.

Availability and pricing: Pricing and the pharmacies dispensing a product are shown only on a separate availability surface, which carries no “Uses” information, condition data, or statement about therapeutic properties. From that surface a verified patient may select a pharmacy and submit a request; any prescribing decision rests solely with a Registered Healthcare Professional (see Section 10).

“Uses”: “Uses” means information recorded by users about their own experience after use — including the proportion of reporting users who have a given self-reported condition, and a self-reported intensity rating. It is peer-reported experience, not clinical evidence, and not a statement by Toke that any product treats, relieves, or is effective for any condition. Toke does not generate, estimate, or model any figure; every figure is a count of what users recorded, is shown against a visible number of reports, includes cases where users reported no change, and is displayed only once a minimum number of reports has been reached. “Uses” is shown only to verified medical patients. Before “Uses” can be viewed, an explanatory notice is shown stating that this is peer-reported experience, not clinical evidence, and not a substitute for advice from your Registered Healthcare Professional.

Availability of these surfaces, and of medical product information generally, is governed by the laws of your jurisdiction and controlled by Toke on a per-jurisdiction basis (see Section 28.5).

5. User Accounts and Registration

5.1 Account Access Requirements

You must meet the minimum age criteria of your region, country, or location, or be a qualified medical cannabis patient with a valid prescription, to use the Site and Services.

5.2 Account Creation

To access certain features, you must register for an account, provide accurate information, create login credentials, and complete age verification. You agree to provide accurate, current, and complete information; keep it updated; maintain the confidentiality of your credentials; and notify Toke immediately at support@toke.ai of any unauthorised use or security breach.

5.3 Account Security

You are solely responsible for all activities under your account. Toke will not be liable for any loss or damage arising from your failure to maintain the security of your credentials.

5.4 Account Suspension and Termination

Toke may suspend or terminate your account at its sole discretion, without notice or liability, for reasons including breach of these Terms; violation of law including age restrictions; fraudulent, abusive, or illegal activity; requests by authorities; technical problems; non-payment; or submission of false or fraudulent reviews or information.

5.5 Accuracy of Your Information

You are responsible for ensuring that information you provide — including your registration details and any physiological or lifestyle data you choose to submit — is accurate, current, and complete. Toke is not responsible for any outcome arising from inaccurate, incomplete, or out-of-date information that you have entered. This does not affect Toke’s own obligations in respect of your personal data under our Privacy Policy and applicable data protection law.

6. User Content and Responsibilities

6.1 Licence to User Content

You grant Toke a worldwide, non-exclusive, royalty-free licence to host, store, use, reproduce, adapt, publish, and display your User Content for the purposes of operating, improving, and promoting the Platform. We may sub-license these rights only to service providers acting on our behalf in connection with the Platform. Any use of User Content beyond displaying it in connection with your profile or reviews — for example in aggregated statistics, infographics, or promotional materials — will use anonymised data only, so that you are not identified. We do not share personal data contained in User Content with other companies except as described in our Privacy Policy and in compliance with applicable data protection law. This licence ends, in respect of future use, when you delete the relevant User Content or close your account, except that (a) we may continue to hold and use anonymised and aggregated data, and (b) copies already shared with other users or already incorporated into aggregated data may persist. You represent and warrant that you own or have the rights to publish the User Content you submit and that it does not infringe third-party rights.

6.2 Permitted Use

You agree to use the Platform solely for its intended purpose: to access cannabis strain and product information, make informed decisions, and connect with Business Partners for legal cannabis-related services where permitted by law.

6.3 Prohibited Uses

You agree not to: engage in illegal, harmful, abusive, or defamatory activity; misrepresent age or identity; interfere with or disrupt the Platform; attempt unauthorised access; reverse engineer the Platform; submit false or fraudulent reviews or manipulate Credit; circumvent Business Partner limits; distribute malware; send spam; harvest user data without consent; use automated scripts to create accounts or scrape data; impersonate others; or use the Platform for unauthorised commercial purposes.

6.4 Friend Finder and Social Features

Feature-dependent. This Section applies only where the relevant feature is available to you (see Section 2.4). Some features, such as Friend Finder, let you connect and interact with other users. These features are optional — you are not required to take part, your profile is not visible to others unless you choose to opt in, and you can add or remove your profile, or change what you share, at any time through your account settings. Only the information you choose to share will be visible to others. You must not share another person’s personal information without their consent, and you must treat other users with respect. Any interaction, arrangement, or meeting with another user is at your own risk and solely between you and that user (see Section 9.4).

7. Acceptable Use Policy

7.1 Reviews

You must have an account to leave a review. Reviews must reflect genuine personal experience and must not be: written all in capitals; plagiarised; spam or advertising; disparaging of individuals; sexual or personally offensive; referencing competing businesses; or based on second-hand experience. Owners, volunteers, or employees of a Brand, Retailer, Dispensary, Clinic, Club, Pharmacy, or any other Business Partner not otherwise specified may not review their own or competitors’ operations. Toke may remove, suspend, or edit any review at its sole discretion where misleading, defamatory, in breach of these Terms, or otherwise harmful.

Location-dependent reviews. Some dispensaries accept reviews only from users who are at the premises at the time. Where that applies, we check your device location against that dispensary when you submit the review, and you will not be able to post it if the check does not succeed. Allowing location access is your choice; if you decline, you can still use the rest of the Platform, and reviews you have already posted are unaffected. Our Privacy Policy explains how the check works.

7.2 Images

Feature-dependent. This Section applies only where the ability to attach an image is available to you (see Section 2.4). Images must feature only the product illustrated, centred and clear, without body parts, cluttered backgrounds, wrapping, currency, paraphernalia, or unrelated branding, and must not contain pornographic or graphic content.

7.3 Moderation, Suspension, and Termination

Toke reserves the right (but has no obligation) to review, investigate, and take action — including removing content, suspending accounts, and reporting to authorities — where we reasonably suspect a violation.

7.4 Illegal Content and Online Safety

You must not create, upload, post, share, or transmit any content that is illegal or that encourages or facilitates illegal activity. We operate systems and processes to identify, assess, and remove illegal content and to protect users, including younger users, from harmful material. Where we become aware of illegal content or activity, we may remove it, suspend or terminate the responsible account, and report it to the relevant authorities where required or appropriate. You can report content or behaviour you believe is illegal or harmful using the tools described in Section 7.5.

7.5 Reporting and Takedown

You can report content, a review, another user, or a Business Partner that you believe breaches these Terms or is unlawful, using the reporting tools on the Platform. We will review reports and may remove or restrict content, issue warnings, or suspend or terminate accounts. Where we take action against your content or account, we will where appropriate tell you why and give you an opportunity to respond. We operate a repeat-infringer policy and may permanently remove users or Business Partners who repeatedly breach these Terms or the law.

8. Intellectual Property Rights

8.1 Toke Intellectual Property

All Intellectual Property Rights in the Toke Platform, including software, design, text, graphics, logos, images, data compilations, report infographics, and aggregated data derived from lab reports and user reviews, are the exclusive property of Toke or its licensors.

8.2 User Licence

Subject to compliance with these Terms, Toke grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Platform for personal, non-commercial use.

8.3 Restrictions

You may not copy, modify, distribute, sell, lease, transfer, publicly display, or create derivative works from the Platform or its content, nor reverse engineer, decompile, or disassemble the Platform.

8.4 Feedback

If you provide feedback or suggestions, you grant Toke the right to use it without restriction, attribution, or compensation.

9. Third-Party Materials and Interactions

9.1 Third-Party Interactions

Toke is not a party to any transaction between you and third parties. Any such activity is solely between you and the applicable third party, and Toke has no liability for it.

9.2 Third-Party Materials

The Platform may display third-party content or links. Toke is not responsible for Third-Party Materials, including their accuracy, legality, or quality; you access them at your own risk.

9.3 Deals and Promotions

Deals are offered directly by the relevant Business Partner (the “Offeror”), who is solely responsible for redemption, legal compliance, the goods or services, and any resulting liabilities.

9.4 Other Users

Each user is solely responsible for their own User Content. Your interactions with other users are solely between you and them.

Where you are a member of a cannabis club or private members’ club, you acknowledge that Toke is not a party to, and is not liable for, any interaction or dispute between you and that club.

9.5 Release

Your dealings with other users, Business Partners, and third parties are between you and them. To the extent permitted by law, Toke is not responsible for their acts or omissions. This does not limit any liability that cannot be limited by law, including liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for breach of your non-excludable statutory rights.

10. Medical Accounts and Prescriptions

Feature-dependent. This Section applies only where the relevant feature is available to you (see Section 2.4).

10.1 Medical Access

Toke facilitates connection with independent Registered Healthcare Professionals and clinics. Access to and eligibility for medical cannabis is not guaranteed and is subject to the sole discretion of the Registered Healthcare Professional and compliance with applicable regulatory criteria.

10.2 Consultations

Consultations may be conducted in-person, by audio, or by video call, as determined by the healthcare professional.

10.3 Prescriptions

Toke acts solely as a facilitator and is not responsible for issuing, verifying, or approving prescriptions. Clinical decisions rest entirely with the Registered Healthcare Professional.

10.4 Redeeming Prescriptions

A valid prescription may be redeemed at a licensed Pharmacy. Toke does not guarantee stock availability; the Pharmacy has sole discretion to verify and fill prescriptions.

10.5 International Prescriptions and Cross-Border Movement

Toke does not facilitate, arrange, or advise on the transport of cannabis products across international borders. Any international prescription is a matter solely between you and your Registered Healthcare Professional, and the validity and redemption of any such prescription are subject to the laws of the destination country. Toke does not warrant that any prescription or product will be valid or lawful in any jurisdiction. You are solely responsible for compliance with the laws of every jurisdiction you enter, and you must not use the Platform to arrange the export, import, or cross-border transport of any product in breach of applicable law.

10.6 Payments for Consultations and Prescriptions

Where you book a consultation or submit a prescription request through the Platform, you enter into a direct contract with the relevant Registered Healthcare Professional, clinic, or Pharmacy. Fees for consultations, prescriptions, or related services are set by that Business Partner and are payable in accordance with Section 12. Toke facilitates payment but is not the provider of the medical service and is not responsible for the service, its outcome, or any refund. Refunds and cancellations for consultations and prescriptions are handled by the relevant Business Partner in accordance with their own terms and applicable law.

11. Orders for Delivery or Collection

Feature-dependent. This Section applies only where the relevant feature is available to you (see Section 2.4).

11.1 Placing an Order

When you place an order you enter into a direct contract with the relevant registered Business Partner (the “Vendor”), who is responsible for all aspects of fulfilment. Your age must be verified before an order is processed.

11.2 Medical Orders

A valid prescription may be required. Where required by law, the shipping or collection address may need to match the address on your prescription or account; you are responsible for complying with any such requirement.

11.3 Delivery Orders

A shipping fee may apply. Delivery availability is at the Vendor’s discretion. Orders must be paid in full before dispatch. You may need to present valid ID on delivery. Returned undelivered orders may still incur delivery and service fees.

11.4 Collection Orders

You must select a collection time and may pay online or in person. Toke does not guarantee readiness at the exact arrival time.

11.5 Issues with Orders

Contact the relevant Vendor or courier directly. Returns, refunds, and cancellations are handled under Section 13.

11.6 Tips and Donations

Tips: Where the Platform offers the option to add a gratuity for a third-party delivery courier, any such gratuity is passed in full to the relevant courier and is not subject to a Toke service fee.

11.7 Failed Payments

Toke may suspend or terminate access to the Service if any payment fails.

12. Payments and Fees

Feature-dependent. This Section applies only where the relevant feature is available to you (see Section 2.4).

12.1 Billing and Payment

All payments are processed through third-party payment providers. You authorise Toke or its processor to charge your chosen payment method. Payments are typically in local currency and must be made in full before goods or services are released.

12.2 Business Partner Transactions

Toke is not responsible for refunds related to Business Partner products or services; direct such requests to the Business Partner.

12.3 Taxes and Service Fees

Toke’s own services: Fees for Toke’s own services, including Toke Plus and Toke Premium subscriptions, are stated inclusive of applicable VAT or equivalent local tax unless otherwise indicated; the price shown at the point of purchase is the total amount payable.

Business Partner goods and services: Prices for goods and services provided by Business Partners are set by the relevant Business Partner and are assumed to include applicable VAT or equivalent local tax unless stated otherwise.

Toke does not currently charge a service fee on delivery orders. We may introduce or amend a service fee in future on reasonable notice to you. A breakdown of any taxes and fees is provided in the Order Summary or at checkout.

13. Returns, Refunds, and Cancellations

Feature-dependent. This Section applies only where the relevant feature is available to you (see Section 2.4).

This Section applies to goods and services ordered from Business Partners. Refunds and cancellations for Toke’s own subscriptions are dealt with in Section 14.

13.1 Returns

Return requests must be made directly with the Vendor under the Vendor’s return policy. Return costs may be borne by the customer as specified by the Vendor.

13.2 Refunds

Refunds are processed by the Vendor under their policy; approved refunds return to the original payment method, subject to processing times.

13.3 Cancellation by User

A cancellation is automatically successful only if received before the Vendor confirms the order. After confirmation, cancellation is at the Vendor’s discretion and may incur fees.

13.4 Cancellation by Business Partner

The Vendor may cancel an order due to unavailability, regulatory restrictions, or technical issues; the customer receives a full refund with no cancellation fee.

13.5 Disputes

Toke will act as an initial point of contact and will use reasonable efforts, in good faith, to help resolve disputes between you and a Vendor, including by gathering information from both parties and proposing a resolution. Any resolution Toke proposes is voluntary and without prejudice to your legal rights; it does not affect your right to pursue the matter through the courts or any applicable alternative dispute resolution scheme.

14. Subscription Services

Feature-dependent. This Section applies only where the relevant feature is available to you (see Section 2.4).

14.1 Toke Basic

A registered user without an additional subscription is a “Basic User”, able to view the Platform in their country of residence but restricted from product/strain reports and properties, cannabis clubs, Friend Finder, Credit redemption, messaging other users, and features outside their country of residence.

14.2 Toke Plus

Toke Plus is available for a single payment of £9.99 (including VAT). This is a one-off payment that grants you a perpetual licence to use Toke Plus features for as long as the Platform continues to offer them (see Section 4.4). All payments are final and non-refundable upon purchase, subject to Section 14.6 and your statutory cancellation rights. Toke Plus adds product/strain reports and properties, cannabis clubs, Friend Finder (limited matching), Credit redemption, and messaging other users.

14.3 Toke Premium

Toke Premium requires Toke Plus and is available for a monthly fee of £2.99 (including VAT) (“Toke Premium Monthly”) or an annual fee of £29.99 (including VAT) (“Toke Premium Annual”). All payments are final and non-refundable upon purchase, subject to Section 14.6 and your statutory cancellation rights. Premium adds cross-border features, unlimited Friend Finder matching, and £1.00 Credit for every valid review as part of a verified purchase.

14.4 Billing, Pre-Contract Information, and Automatic Renewal

Before you subscribe, we will show you the key details of your subscription, including the price, billing frequency, renewal terms, and how to cancel. By subscribing you authorise recurring charges on a monthly or annual basis until you cancel. Toke Plus is a single, non-recurring payment that grants a perpetual licence and does not auto-renew. Your subscription auto-renews unless cancelled before the renewal date. We will send you a reminder in good time before each renewal, and before any free trial converts into a paid subscription, so you can cancel if you wish. You can cancel at any time using a method at least as easy as the one you used to subscribe.

14.5 Cancellation

You may cancel at any time via account settings or support, using a method at least as easy as the one you used to subscribe. You retain access until the end of the current billing period. No refunds or credits are issued for unused portions except as set out in Section 14.6. Toke Plus is a single payment and is not a recurring subscription, so there is nothing to cancel; it is non-refundable except as set out in Sections 4.4 and 14.6 and subject to your statutory rights.

14.6 Refunds on Subscriptions

All subscription payments are non-refundable upon initial purchase, subject to your statutory rights below. As an additional goodwill exception for Automatic Subscription Renewals, a refund may be issued if: (a) a request is submitted within 7 days of the renewal date; and (b) no subscription features have been used since renewal.

You may have a statutory right, under UK and EU consumer law, to cancel within 14 days of purchase. Where you ask us to begin providing a subscription service immediately, we will ask you at the point of purchase to expressly consent to the service starting during the 14-day period and to acknowledge that you will lose your right to cancel once the service has been fully performed. You keep your statutory right to cancel unless and until you give that consent and acknowledgement.

14.7 Failed Subscription Payments

If a subscription payment fails, access to subscription features may be suspended until valid payment is received. Toke may retry billing periodically.

14.8 Termination by Toke

If Toke terminates for your breach, no refunds are issued for pre-paid fees. If Toke discontinues the Platform or subscriptions other than for your breach, Toke may at its discretion offer a pro-rata refund for the unused portion.

14.9 Unlocks

Basic Users may be given a limited number of free “unlocks” (for example, 5 unlocks) allowing them to view certain strain or product reports before a Toke Plus or Toke Premium subscription is required. The number of free unlocks is set by Toke and may change for the future; any change will not reduce unlocks already granted to you.

14.10 Free Trials

Toke may offer free trials of Toke Plus or Toke Premium. Where a free trial is offered, the trial period and conditions will be stated at sign-up. Unless you cancel before the end of the trial, your subscription will automatically convert to a paid subscription and the applicable fee will be charged. We will remind you before your free trial ends and before the first payment is taken. You may cancel at any time during the trial through your account settings. Toke may modify or withdraw free-trial offers at any time and may limit eligibility (for example, to new users only).

15. International Use and Travel

15.1 User Responsibility

You are solely responsible for understanding and complying with all local laws regarding the purchase, possession, and use of cannabis products in your region.

15.2 Cross-Border Travel

If you travel with cannabis products, you are entirely liable for complying with all relevant local, national, and international laws, including laws on possession, transport, and importation. Toke does not facilitate or arrange cross-border movement of any product (see Section 10.5), does not warrant that your prescription or products will be valid or lawful abroad, and is not liable for any legal consequences, fines, or penalties arising from your travel.

Users are prohibited from exporting, importing, or transporting cannabis across international borders in violation of applicable laws. Toke disclaims all liability for any legal consequences arising from such activity.

16. Platform Credit

16.1 Nature of Credit

Credit has no cash value and cannot be transferred, sold, or exchanged outside the Platform. Credit does not expire, except where an expiry is clearly specified at the time it is granted (for example, promotional Credit or Credit issued as reimbursement). Unused Credit otherwise remains until account termination.

16.2 Earning Credit

Credit may be earned through qualifying activities such as Referral Credit and Review Credit, subject to the relevant programme terms. Toke may modify, suspend, or discontinue any Credit programme on reasonable notice; changes will not affect Credit you have already validly earned and which is available to redeem.

16.3 Pending Credit

Earned Credit is held as “Pending” until validation conditions are met; Pending Credit has no value and cannot be redeemed.

16.4 Available Credit

Credit becomes “Available” once verification criteria are met; only Available Credit may be redeemed.

16.5 Withholding and Cancellation of Credit

Toke may withhold, reverse, or cancel Credit where it was awarded in error or misallocated, obtained through fraud, referral abuse, or fake, purchased, or non-compliant reviews, or where you have breached these Terms. Toke will not cancel validly earned Credit except in those circumstances, or on reasonable notice where a Credit programme is modified or discontinued.

17. Warranties, Disclaimers, and Limitation of Liability

17.1 Limited Warranty

Toke warrants that the Platform will perform substantially as described in these Terms and the Platform’s official descriptions. We do not warrant that it will meet your specific requirements or operate perfectly.

17.2 “As Is” Disclaimer

THE TOKE PLATFORM AND ALL INFORMATION, CONTENT, MATERIALS, PRODUCTS (INCLUDING SOFTWARE) AND OTHER SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, TO THE FULLEST EXTENT PERMISSIBLE BY APPLICABLE LAW. TOKE DISCLAIMS ALL IMPLIED WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND DOES NOT WARRANT THE ACCURACY OF LAB REPORTS, STRAIN OR PRODUCT INFORMATION, OR USER REVIEWS.

17.3 Exclusion of Certain Damages

TO THE FULLEST EXTENT PERMITTED BY LAW, AND SUBJECT TO SECTION 17.5, TOKE SHALL NOT BE LIABLE FOR ANY INDIRECT OR CONSEQUENTIAL LOSS, OR FOR ANY LOSS OF PROFITS, GOODWILL, BUSINESS, OR DATA, THAT WAS NOT A REASONABLY FORESEEABLE RESULT OF OUR BREACH, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF, OR INABILITY TO USE, THE PLATFORM.

17.4 Cap on Liability

SUBJECT TO SECTION 17.5, OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE PLATFORM IS LIMITED TO LOSS THAT WAS REASONABLY FORESEEABLE, AND SHALL NOT EXCEED: (A) FOR CLAIMS RELATING TO A PAID SUBSCRIPTION OR A TOKE SERVICE FEE, THE GREATER OF (I) THE TOTAL FEES YOU PAID TO TOKE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (II) FIFTY POUNDS STERLING (£50); AND (B) FOR ALL OTHER CLAIMS, FIFTY POUNDS STERLING (£50).

17.5 Non-Excludable Liabilities

Nothing in these Terms excludes or limits liability for death or personal injury caused by Toke’s negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded or limited by applicable law, including mandatory consumer protection rights.

18. Your Responsibility for Losses

You are responsible for losses and reasonable costs (including reasonable legal costs) that Toke suffers where they are a foreseeable result of: your breach of these Terms; your misuse of the Platform; your infringement of a third party’s rights, including intellectual property or privacy rights; or your breach of applicable laws, including those relating to cannabis or age verification. You will not be responsible for losses that were not a foreseeable result of your act or omission, or that were caused by us. Nothing in this Section requires you to compensate us for losses to the extent they arise from our own breach, negligence, or failure to comply with our legal obligations.

19. Data Protection and Privacy

19.1 Privacy Policy

Your use of the Platform is governed by our Privacy Policy, available at toke.ai/policies. Our Privacy Policy describes how we collect, use, and process your personal data.

19.2 Data Protection Compliance

Toke is committed to complying with applicable data protection law, including UK GDPR and the Data Protection Act 2018, and EU GDPR, as applicable.

19.3 Age and Identity Verification

While we verify your age and identity, we do not store your identification documents on the Platform. Verification is carried out in-situ by a third-party identity verification provider and is used only to confirm that you are a real person of the required legal age. The provider processes your information under its own safeguards; details are set out in our Privacy Policy.

19.4 Consent for Special-Category Data

We process special-category (health-related) data — such as physiological and lifestyle information — only where you have given separate, explicit, and specific consent through the dedicated consent controls in your account. Your general use of the Platform is not treated as consent to this processing. You may withdraw your consent at any time through your account settings, without affecting the lawfulness of any processing carried out before withdrawal.

19.5 Data Breach Notification

In the event of a personal data breach, Toke will notify the Information Commissioner’s Office (ICO) and, where required, affected users within 72 hours of becoming aware of the breach, in accordance with applicable law. Equivalent notifications will be made to the relevant supervisory authority in each other jurisdiction (see Section 28.2).

19.6 Automated Processing

Where we carry out any automated processing of your personal data, you retain your rights under applicable data protection law, including, where relevant, to obtain human intervention, to express your point of view, and to contest a decision. Any decision about what is clinically appropriate for you, including in relation to medical products or dosage, rests with your Registered Healthcare Professional.

20. Confidentiality

“Non-public information” means information about the Platform that is not publicly available, including unreleased features, beta functionality, and pricing not yet published. From time to time we may give you access to such non-public information. You agree to keep it confidential and not to disclose or use it other than as permitted by us. This obligation does not apply to information that is or becomes public through no fault of yours, or that you are required to disclose by law. This Section does not apply to your own personal data, which is governed by our Privacy Policy.

21. Term and Termination

21.1 Term of Agreement

These Terms remain in force for as long as you use the Platform.

21.2 Termination by You

You may terminate your account and these Terms at any time via the Platform or by contacting support@toke.ai.

21.3 Termination by Toke

Toke may terminate or suspend your access at any time, with or without cause or notice, where we believe you have breached these Terms, where required by law, or at our sole discretion.

21.4 Effect of Termination

On termination your right to use the Platform ceases. The following survive: Section 3 (Definitions), Section 6.1 (Licence to User Content), Section 8 (IP), Section 17 (Warranties & Liability), Section 18 (Your Responsibility for Losses), Section 19 (Data Protection), Section 20 (Confidentiality), Section 23 (Governing Law), Section 24 (Dispute Resolution), Section 25 (General Provisions), and Section 28 (Jurisdiction-Specific Terms).

22. Changes to These Terms

22.1 Right to Amend

Toke may modify or replace these Terms at any time at its sole discretion.

22.2 Notification of Material Changes

For material changes, Toke will use reasonable efforts to provide at least 30 days’ notice before the new terms take effect, via email, a prominent Platform notice, or other reasonable means.

22.3 Acceptance of Changes

By continuing to use the Platform after revisions take effect, you agree to the revised Terms. If you do not agree, you are no longer authorised to use the Platform.

23. Governing Law and Jurisdiction

23.1 Governing Law

These Terms and any dispute arising out of or in connection with them (including non-contractual disputes) are governed by the laws of England and Wales.

23.2 Jurisdiction

The courts of England and Wales have jurisdiction over any dispute arising out of or in connection with these Terms. This does not deprive you of the protection of the mandatory laws of your country of residence, and you may bring proceedings in the courts of the country in which you live. Jurisdiction-specific rights are set out in Section 28.

23.3 Consumer Protection Caveat

If you are habitually resident in an EU Member State, Switzerland, or any other jurisdiction with mandatory consumer protection laws, this choice of law and jurisdiction does not deprive you of the protection of mandatory provisions of the law of your habitual residence. Jurisdiction-specific rights are set out in Section 28.

24. Dispute Resolution

24.1 Complaints

If you have a complaint about the Platform or our services, please contact us through the Help section of the Platform or using the contact details in Section 27. We aim to acknowledge your complaint within five (5) business days and to provide a full response within twenty-eight (28) days. If we need longer for a complex complaint, we will let you know and keep you updated. Raising a complaint does not affect your legal rights, including your right to use the dispute-resolution options below or to contact the relevant body listed in Section 28.2.

24.2 Informal Resolution

Before formal proceedings, the parties agree to attempt good-faith negotiation for at least 30 days.

24.3 Mediation

Where a dispute cannot be resolved informally, Toke may, at its discretion, propose independent mediation. Participation in mediation does not affect your right to bring proceedings in court or to use an applicable ADR scheme.

24.4 Consumer Alternative Dispute Resolution

If you are unable to resolve a dispute with us directly, you may be entitled to use an alternative dispute resolution (ADR) scheme in your jurisdiction. The relevant ADR and complaint bodies for each jurisdiction are listed in the table at Section 28.2.

25. General Provisions

25.1 Force Majeure

Toke is not liable for delay or failure to perform due to causes beyond its reasonable control, including acts of God, war, terrorism, riots, embargoes, fire, floods, strikes, or failures of telecommunications.

25.2 Severability

If any provision is unenforceable, it will be limited or eliminated to the minimum extent necessary, and the remaining Terms remain in force.

25.3 Entire Agreement

These Terms, together with the Privacy Policy, Cookie Policy, and other posted legal notices, are the entire agreement and supersede all prior agreements.

25.4 Waiver

No waiver of any term is a continuing waiver, and failure to assert a right is not a waiver of it.

25.5 Assignment

You may not assign these Terms without Toke’s consent. Toke may assign or transfer these Terms without restriction.

25.6 Third-Party Beneficiaries

These Terms do not confer rights on any person other than the parties and their successors and permitted assigns, except as expressly stated (e.g. App Platform beneficiary rights under Section 26).

25.7 Headings and Errors

Headings are for convenience only and do not affect interpretation. An obvious clerical or typographical error will be read to give effect to the evident intention of the parties and will not, by itself, invalidate any provision.

25.8 Notices

We may give you notices relating to these Terms by email to the address associated with your account, by in-app message, or by posting on the Platform. You may contact us using the methods in Section 27. Notices are treated as received when sent (for email and in-app messages) or when posted (for Platform notices), unless you tell us a notice was not received. You are responsible for keeping your contact details up to date.

26. App Store Additional Terms

The Toke Mobile App is available for download via third-party app platforms including the Apple App Store and Google Play Store (each an “App Platform”). Depending on which App Platform you use, the following additional terms apply in addition to the rest of these Terms.

26.4 Purchases via the Google Play Version

Where you access the Platform through the Google Play version of our app, purchases of cannabis products, prescriptions, and related goods cannot be completed within the app; you will be directed to complete them through our website or another external channel, in line with Google Play policies. Where you access the Platform through the Apple App Store version, purchases may be completed as made available in that version. Subscriptions and other digital purchases may be processed differently depending on the app platform and its rules, and available purchase methods may change if a platform changes its policies.

28. Jurisdiction-Specific Terms

This Section supplements the rest of these Terms and applies where you are habitually resident in, or your use of the Platform is subject to the laws of, one of the jurisdictions below. In the event of conflict between this Section and any other provision, this Section prevails to the extent of that conflict for the relevant jurisdiction. Where a mandatory local law grants you rights that cannot be waived, those rights prevail over these Terms.

28.1 Order of Precedence

These Terms are governed by the laws of England and Wales as set out in Section 23. Nothing in these Terms removes mandatory consumer protections available to you under the law of your habitual residence. Where such mandatory protections apply, they take precedence over any conflicting provision in these Terms.
